Goodwin Partner Launches US AI-Native Law Firm Omnilex

Must read

In a significant development for the legal industry, Leon Johnson, a partner at Goodwin in San Francisco and formerly of Kirkland & Ellis, has left Big Law to join Omnilex, a Zurich-based AI-native law firm, as Managing Partner to lead its expansion into the United States. The move underscores a growing trend of senior lawyers abandoning the traditional billable-hour pyramid model in favour of technology-driven legal service delivery.

Johnson, who previously helped build Kirkland’s Salt Lake City office to over 100 lawyers, told Artificial Lawyer that he no longer believes the traditional Big Law model has a long-term future. He cited the “Innovator’s Dilemma” theories of the late Clayton Christensen, who was his mentor at Harvard, explaining that incumbent firms struggle to adopt new technologies because their existing business models are not suited to them.

Key Highlights

  • Leon Johnson, Goodwin partner (ex-Kirkland & Ellis), leaves Big Law to lead Omnilex US as Managing Partner.
  • Omnilex is a Zurich-based AI-native law firm built on its own AI platform.
  • Serves ~100 legal teams including Bayer, Randstad, Deloitte, Swatch, BDO.
  • US arm uses an MSO structure (law firm + tech company) to allow outside investment.
  • Cites Clayton Christensen’s “Innovator’s Dilemma” — Big Law’s billable-hour model can’t easily adopt AI disruption.
  • Fixed fees replace billable hours; AI drafts documents in ~2 minutes vs. 24–48 hours.
  • Launch focus: venture financings, startup governance, commercial contracts; UK expansion planned.
  • Currently 3 lawyers in the US, with rapid growth expected.

What Is Omnilex?

Founded in Switzerland a few years ago as a legal technology platform, Omnilex originally sold software to attorneys. However, its founders soon realised that the best use of their product was to deliver legal services directly to clients rather than serve as a platform for other lawyers.

Omnilex describes itself as an “AI-native law firm built on its own AI platform.” Its lawyers work alongside AI agents that understand each client’s contracts, deals, and past matters, enabling the firm to identify problems and opportunities proactively. In-house legal teams can also use the same platform directly for research and drafting.

The company raised a $4.5 million seed round in November 2025, led by Founderful, with participation from Plug and Play, Tiny Supercomputer Investment Company, and Angel Invest. It currently has approximately 20 employees and serves around 100 legal teams, including major clients such as Bayer, Randstad, Deloitte, Swatch, and BDO. The firm focuses on the financial and insurance industries, private equity, and venture capital clients.

A Different Operating Model

Unlike traditional law firms that merely use AI as a tool, Omnilex operates on a fundamentally different principle. According to Johnson, the AI platform receives a matter, resolves it, and then escalates it to a lawyer for review. The lawyer remains responsible for the matter from start to finish, ensures accuracy, signs off, and delivers the final product to the client.

The US arm is structured as an MSO (Managed Services Organisation), which pairs a regulated law firm with a technology company connected through a licensing agreement. This structure allows investment into the tech side without violating US regulations that prohibit non-lawyers from owning law firms.

Fixed Fees and Faster Turnaround

Johnson explained that the billable hour is fundamentally misaligned with what clients actually want. “The client wants to buy outcomes,” he said, whether that means a contract review, a venture financing, or an M&A transaction. With an AI-native structure, firms can provide legal outcomes at a set price, eliminating surprises and properly incentivising both parties.

He offered a practical example from venture capital financing. Under the traditional model, a client negotiates a term sheet and hands it to a law firm, which takes 24 to 48 hours to produce drafts—generating multiple billable hours along the way. With an AI-native approach, the documents can be drafted in approximately two minutes, followed by senior lawyer review, resulting in a couple of hours’ turnaround instead of two days.

Starting from Strength

Omnilex’s US operations will begin with venture capital financings, startup company governance, and commercial contracts. Johnson noted that venture financing documents in the US follow NVCA forms, making them highly amenable to AI-driven drafting. The firm plans to expand into other practice areas as the business scales.

Currently, the US arm has three lawyers, though Johnson expects rapid growth. He acknowledged a long-term ambition to enter larger M&A transactions, but noted this remains years down the road due to the challenge of maintaining specialist lawyers without sufficient deal flow.

A Competitive but Collaborative Ecosystem

Johnson views other AI-native law firms such as Crosby and Moritz as competitors, but also as part of a broader movement. “When another firm wins, we all win,” he said, explaining that the main obstacle facing AI-native firms is reputation and client comfort. As each firm delivers excellent service, the reputational advantage currently enjoyed by legacy firms will diminish.

The article also notes that Johnson’s move is part of a wider trend of senior lawyers joining or creating AI-native law firms—a trend Artificial Lawyer expects to accelerate significantly over the coming year.
